Position Overview:
Currently seeking a highly skilled and experienced Operations Counsel to provide comprehensive legal support to the Operations department. As an Operations Counsel, you will play a crucial role in drafting, reviewing, and negotiating a wide variety of commercial agreements. In addition to contract-related responsibilities, you will also be involved in responding to subpoenas, conducting due diligence for mergers and acquisitions, and providing day-to-day legal support to ensure the smooth operation of the business.

Responsibilities:
- Draft, review, and negotiate a wide variety of commercial agreements, including but not limited to vendor agreements, service agreements, consulting agreements, non-disclosure agreements, and other operational contracts.
- Collaborate with internal stakeholders, including Operations, Finance, Risk Management, and Compliance, to ensure contract terms and conditions align with business objectives and comply with applicable laws and regulations.
- Provide legal guidance and support in response to subpoenas and other legal inquiries, working closely with external counsel when necessary.
- Conduct due diligence and assist in the legal review of mergers, acquisitions, and other strategic transactions to identify legal risks and ensure compliance with regulatory requirements.
- Stay updated on relevant laws, regulations, and industry best practices to provide proactive advice and guidance to internal stakeholders.
- Assist in developing and implementing legal policies, procedures, and templates to streamline operations and ensure consistency and compliance across the organization.
- Collaborate with cross-functional teams to resolve legal and contractual issues and provide timely and practical solutions.
- Support the resolution of disputes, including managing outside counsel and representing the company’s interests in negotiations and settlement discussions.
- Assist in the management and organization of legal documentation and records.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar association.
- Minimum of 5 years of relevant experience as a corporate generalist, preferably within the financial services industry.
- Strong background in drafting, reviewing, and negotiating commercial contracts, with exceptional attention to detail and the ability to identify and mitigate potential risks.
- In-depth knowledge of contract law, commercial transactions, and applicable regulations.
- Familiarity with financial services laws and regulations, such as banking, securities, and consumer protection, is highly desirable.
- Experience in responding to subpoenas and conducting due diligence for M&A transactions is a plus.
- Strong analytical and problem-solving skills, with the ability to think strategically and provide practical legal advice.
- Excellent communication and interpersonal skills, with the ability to collaborate effectively with stakeholders at all levels of the organization.
- Ability to handle multiple priorities and work under pressure in a fast-paced environment.
- Experience in dispute resolution and litigation matters related to contracts is an advantage.
- Prior experience working in-house or at a reputable law firm is preferred.
